Darryl Mazow provides a wide range of corporate and transactional legal services in support of family-owned and founder-owned companies and their owners and to private equity and debt investors serving the lower-middle market. He advises companies, their owners and other stakeholders on matters including mergers and acquisitions, corporate restructuring, private equity and debt financing, corporate governance, and general corporate matters in a broad array of industries including food and beverage, consumer packaged goods, online retail, business services, aviation services and manufacturing, financial services, and software.

Darryl also offers clients seasoned business and strategic advice drawing on his 20+ years of experience in legal, business and corporate finance arenas during his career. His diverse experiences provide the underpinning for his ability to provide astute advice and tailored service to his clients.

Before joining Gordon Arata, Darryl led Mazow PLLC from 2016 to 2022. He previously served as the director of transaction finance and head of lower middle market unitranche finance for CapitalSource Business Finance Group; founded Medusa Capital Partners, a private investment firm focused on control equity investments; and served as head of the corporate acquisitions group for Interwest Capital and Trivest Partners. In addition, Darryl served as CEO for a large contract manufacturer of snack foods with locations in California and Illinois and vice president of corporate development and acting general counsel for Pemco Aviation Group.

Darryl earned his J.D., cum laude, from the University of Miami School of Law and his B.S. in Marketing/Management and Finance from the American College of Switzerland.

  • Representation of a global aviation services company in various senior and subordinated debt financings; the sale of certain subsidiaries; and the corporate and financial restructuring of its European subsidiary in bankruptcy
  • Representation of a snack food contract manufacturing company in various matters including corporate reorganization; equity recapitalization; senior debt financing; the acquisition of a dried soup manufacturing company from a leading national food brand including the negotiation of a long-term supply and manufacturing agreement; and negotiation of a partnership agreement with the world’s largest manufacturer of chips and salty snacks
  • Representation of a consumer-packaged food endorsement and marketing company in its restructuring and sale
  • Led a senior debt financing for a premium men’s clothing company
  • Representation of the buyer in the acquisition of a US open wheel automotive racing sanctioning body/promotion company
  • Representation of the buyer in the acquisition of a leading branded food company selling directly to consumers
  • Representation of the buyer of a leading loose leaf tea company serving the commercial and food service markets
  • Representation of the buyer in the acquisition and related debt financing of a group of interior design and accessories companies in a private restructuring
  • Representation of a leading organic and raw food company in its sale
  • Representation of a private equity fund in its acquisition of an energy service provider, related senior and subordinated debt financing, and a subsequent add-on acquisition
  • Representation of the equity sponsor relating to the creation of entity structure and subsequent formation of investment vehicles and all related documents for a minority investment in a leading EV company
  • Representation of a large residential and commercial building materials company to a private equity fund, including corporate restructuring in an F-Reorganization
  • Representation of a private investment group in its acquisition of a microbial based additive and supplement company serving the agricultural and wastewater treatment industries
