Our real estate team helps clients acquire, sell and subdivide land, obtain necessary servitudes and easements and negotiate long-term ground leases and site facilities agreements, and we assist with negotiating and documenting the acquisitions of plants and facilities.  When our clients need financing for initial development or expansion, our commercial financing and secured transactions team helps them structure, negotiate and close term loans and revolving credit facilities.

Our construction team negotiates and drafts construction agreements for plants, transportation facilities and office buildings and, when disputes arise, represent clients in litigation, arbitration and mediation to help them get exactly what they bargained for in their agreements.  For clients with established operations, we regularly provide ongoing support with legal and business issues as they arise, acting as trusted advisors and teammates.  We negotiate and prepare employment agreements and policies, supply agreements, product sales agreements and advise on environmental issues, general litigation and more.

Recent Representations

  • Advised and acted for a manufacturer of specialty chemicals in its acquisition of a chemical plant
  • Represented a client in connection with a proposed long-term ground lease from a major petrochemical company
  • Counseled on servitudes and access agreements for certain EPA-monitored asbestos-related mediation operations
  • Successfully negotiated the resolution of a nine-figure construction dispute regarding construction delays such that our client avoided lengthy and possibly costly arbitration
  • Acted for a client in connection with the sale of industrial property to a subsidiary of a multi-national conglomerate
  • Advised a client on easement and ownership issues related to its plant in Texas and its adjoining co-owned dock facilities
  • Served as counsel for the acquiror of a ready-mix concrete business consisting of six batch plants
  • Represented a Mexican company with operations in Texas in its purchase of a brick manufacturing facility in Louisiana in a multifaceted transaction involving multiple parties and an IRS 1031 Tax Exchange
